The EU would probably be a major opponent of such a merger. I can see Apple wanting its own factories, but Sony is a huge company with its toes dipped in many different niches.
Apple doesn't need the factories bad enough to actually purchase Sony, but I suspect there would be no objection from the U.S. side of things if Steve Jobs were suddenly stricken with a case of stupid and actually wanted to buy them.
